This Application is maintained as a service to our users ("End Users"). By using this Application, you agree to comply with and be bound by the following terms and conditions of use. Please review these terms and conditions carefully. If you do not agree to these terms and conditions, you should not use this Application.

Agreement

These Terms of Use (the "Agreement") specify the Terms and Conditions for access to and use of app.kandula.ai (the "Application") and describe the terms and conditions applicable to your access of and use of the Application. This Agreement may be modified at any time by Relay Technologies LLC d/b/a Kandula ("Kandula") upon posting of the modified Agreement. Any such modifications shall be effective immediately. You can view the most recent version of these terms at any time at https://app.kandula.ai/terms-of-service. Each use by you shall constitute and be deemed your unconditional acceptance of this Agreement.

Authority and Acceptance

By accepting this Agreement, you represent and warrant that you are at least 21 years of age, that you are accepting it on behalf of the law firm or other organization with which you are associated in the Application, and that you have the authority to bind that firm or organization to this Agreement. In this Agreement, "you" means both the individual accepting this Agreement and the firm or organization on whose behalf it is accepted, and both are bound by it.

Privacy

Your visit to our Application is also governed by our Privacy Policy. Please review our Privacy Policy at https://app.kandula.ai/privacy-policy.

Ownership

The Application, and all content, software and materials that Kandula includes in or makes available through it, is and shall continue to be the property of Kandula or its content suppliers and is protected under applicable copyright, patent, trademark, and other proprietary rights. Any copying, redistribution, use or publication by you of any such content or any part of the Application is prohibited, except as expressly permitted in this Agreement. Under no circumstances will you acquire any ownership rights or other interest in any such content by or through your use of this Application.

Your Data

As between you and Kandula, you retain all ownership of the data and materials you upload to or submit through the Application ("Your Data"). Your Data includes data and materials provided to us by you or on your behalf by any means, including through integrations with your case management or other systems, and includes historical data relating to matters that predate your use of the Application. You grant Kandula a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, process, analyze and create derivative and aggregated works from Your Data, including to develop and train models, in order to provide, secure, support, improve and develop the Application and Kandula's products and services, in any manner consistent with our Privacy Policy. Kandula may use and disclose aggregated and de-identified information derived from Your Data without restriction. Where your firm opts in to an additional offering made available by Kandula or its affiliates, including any financing or underwriting offering, Kandula may share Your Data with its affiliates and with third parties designated by Kandula for the purposes of that offering. Your firm's opt-in may be recorded separately from these Terms, and no amendment to these Terms is required for Kandula to make such an offering available.

Intended Audience

This Application is not intended for any children under the age of 21. The Application is intended for business use by law firms and their personnel and is not directed to consumers.

Trademarks

There may be either trademarks or registered trademarks of Kandula used on this Application. Other product and company names mentioned on this Application are the trademarks of their respective owners.

Application Use

Kandula grants you a limited, revocable, nonexclusive license to use this Application solely for your own internal business use and not for republication, distribution, assignment, sublicense, sale, preparation of derivative works, or other use. You agree not to copy materials on the Application, reverse engineer or break into the Application, or use materials, products or services in violation of any law. The use of this Application is at the discretion of Kandula and Kandula may terminate your use of this Application at any time.

Compliance with Laws

You agree to comply with all applicable laws regarding your use of the Application. You further agree that any information provided by you is truthful and accurate to the best of your knowledge.

Indemnification

You agree to indemnify, defend and hold Kandula and our partners, employees, and affiliates, harmless from any liability, loss, claim and expense, including reasonable attorney's fees, related to your violation of this Agreement or use of the Application.

Disclaimer

THE INFORMATION ON THIS APPLICATION IS PROVIDED ON AN "AS IS," "AS AVAILABLE" BASIS. YOU AGREE THAT USE OF THIS APPLICATION IS AT YOUR SOLE RISK. KANDULA DISCLAIMS ALL WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO ANY EXPRESS WARRANTIES, STATUTORY WARRANTIES, AND ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE EXTENT YOUR JURISDICTION DOES NOT ALLOW LIMITATIONS ON WARRANTIES, THIS LIMITATION MAY NOT APPLY TO YOU. YOUR SOLE AND EXCLUSIVE REMEDY RELATING TO YOUR USE OF THE APPLICATION SHALL BE TO DISCONTINUE USING THE APPLICATION.

Limitation of Liability

UNDER NO CIRCUMSTANCES WILL KANDULA BE LIABLE OR RESPONSIBLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL (INCLUDING DAMAGES FROM LOSS OF BUSINESS, LOST PROFITS, LITIGATION, OR THE LIKE), SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN ANY WAY RELATING TO THE APPLICATION, YOUR APPLICATION USE, OR THE CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE APPLICATION AND/OR CONTENT IS TO CEASE ALL OF YOUR APPLICATION USE.

Use of Information

Kandula reserves the right, and you authorize us, to use and assign all information regarding Application uses by you and all information provided by you in any manner consistent with our Privacy Policy.

Copyrights and Copyright Agent

This section concerns notices from third parties claiming that content on the Application infringes their rights. It does not limit or qualify the licence you grant to Kandula under Your Data above.

If you believe your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have otherwise been violated, please provide a notice containing all of the following information to our Copyright Agent:

  1. An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;
  2. A description of the copyrighted work that you claim has been infringed;
  3. A description of where the material that you claim is infringing is located on the Application;
  4. Your address, telephone number, and e-mail address;
  5. A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
  6. A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

Notices of claimed copyright infringement on the Application should be directed to the Kandula Copyright Agent, using the contact details in the Contact Information section below.

Applicable Law

You agree that the laws of the State of Kentucky, without regard to conflicts of laws provisions will govern these Terms and Conditions of Use and any dispute that may arise between you and Kandula or its affiliates.

Arbitration

Any dispute, claim or controversy arising out of or relating to this Agreement shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules then in effect. The arbitration shall be conducted in Louisville, Kentucky and shall be governed by the substantive law of the Commonwealth of Kentucky.

If either party commences an action in a court of law touching upon a dispute subject to this provision, that action shall be stayed in accordance with Section 3 of the Federal Arbitration Act (FAA), pending the outcome of the arbitration.

Severability

If any provision of this Agreement shall be adjudged by any court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect.

Waiver

The failure of Kandula to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. Any waiver of this Agreement by Kandula must be in writing and signed by an authorized representative of Kandula.

Termination

Kandula may terminate this Agreement at any time, upon notice to you at the email address associated with your account, for any reason.

Relationship of the Parties

Nothing contained in this Agreement or your use of the Application shall be construed to constitute either party as a partner, joint venturer, employee or agent of the other party, nor shall either party hold itself out as such. Neither party has any right or authority to incur, assume or create, in writing or otherwise, any warranty, liability or other obligation of any kind, express or implied, in the name of or on behalf of the other party, it being intended by both parties that each shall remain independent contractors responsible for its own actions.

Entire Agreement

These Terms of Use constitute the entire agreement between you and Kandula and governs the terms and conditions of your use of the Application, and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and Kandula with respect to this Application. Notwithstanding the foregoing, you may also be subject to additional terms and conditions, posted policies (including but not limited to the Privacy Policy), guidelines, or rules that may apply when you use the Application. Kandula may revise these Terms of Use at any time by updating this Agreement and posting it on the Application. Accordingly, you should visit the Application and review the Terms of Use periodically to determine if any changes have been made. Your continued use of this Application after any changes have been made to the Terms of Use signifies and confirms your acceptance of any such changes or amendments to the Terms of Use.
